ScratchGames End User Agreement

DEFINITIONS

Applicable Laws	Any laws, rules and regulations relating to online gambling, access to or use of the Website, or the making of Deposits to the Pariplay Limited and receipt of any Withdrawals from it, and that apply to you in the country where you live, and, if different, from which you are conducting such activities, and that otherwise apply to you.
Free Practice Play	Shall mean a play mode allowing a Player Account holder to play Pariplay Limited Games practice purposes. Playing in practice mode involves no betting of actual funds and entails no ability to win or lose any such funds, but is however subject to the same Player rules as Real Money Play.
Services / Our Services	Shall mean Pariplay’s internet gaming system on Our Website(s), including related services and gaming activities, all as offered and listed on Our Website(s).
Play	Shall mean any real money purchase of one of our Games for the purpose of betting online; Player shall mean any person over the age of eighteen holding a valid Player Account with Pariplay Limited for the purpose of betting online.
Player Account	Shall mean a personal account opened by an individual, solely for such individual, and maintained with Us to enable that person to play Games using the Pariplay Limited Services both for Practice Play Games and Real Money Games.
Real Money Play	Consists of a play mode allowing a Player Account holder to play the Games using the Pariplay Limited Services which involves the betting of actual funds and the possibility of winning and losing such funds.
Us/We/Ours/DGT	Pariplay Limited, www.ScratchGames.com , shall refer to Pariplay Limited, and/or any subsidiaries, affiliates, directors, officers, employees, agents and contractors of Pariplay Limited.
Website	www.ScratchGames.com; and any related sites on which the service / Software / Games is operated and are accessible via links or any other access method;
Withdrawal	Any transfer of funds from your Player Account to yourself either directly or through a Payment Provider;
You/Your/User	Shall refer to the user of the Pariplay Limited Services for Free Practice Play and/or Real Money Play games.

APPLICABILITY OF AGREEMENTS
By using Our Services and/or by acknowledging that You have read these Agreements when You register to join, You agree to comply with these Agreements, and You acknowledge that Your failure to comply with these Agreements may result in disqualification, the closure of Your Player Account, forfeiture of funds and/or legal action against You, as appropriate and as further specified in these Agreements. You acknowledge that if you accept these Agreements, We will start providing you with the benefit of the Services immediately.

LEGALITY OF USE OF THE SERVICES

We are a corporation incorporated under the laws of the Isle of Man. We are regulated for the purpose of operating a virtual games / instant-win / casino on the internet under the name www.ScratchGames.com.

We hereby grant to you a limited, personal, non-exclusive, non-transferable right to Use the Service on Your computer, for the sole purpose of participating in the System including any type of games we are offering and/or will offer from time to time, in accordance with the provisions of these Terms.

You may only use the Services if you are 18 years of age or over (or such other higher minimum legal age in your jurisdiction) and it is legal for you to do so according to the laws that apply in your jurisdiction. It is your responsibility to determine the law that applies in the location in which you are present. You should ensure that you will be acting legally in your jurisdiction in opening Your Account and/or using the Website and You represent, warrant and agree that you will do so.

We shall be entitled to inform relevant authorities, other online casino operators, other online service providers and banks, credit card companies, electronic payment providers or other financial institutions of your identity and of any suspected unlawful, fraudulent or improper activity, and you will cooperate fully with us to investigate any such activity.

ACCOUNT/REGISTRATION

To use the Services, You will first need to register for an account with us. You may access any of Our Services from Your Account (as defined below).

You can open an account with Us by submitting your email address and password and entering other information that We ask for on Our registration form such as (but not limited to) Your first and last name, address, email and telephone number (an 'Account'). You shall ensure that the details provided at registration are accurate and kept up to date. You can change the details you provide at registration at any time by editing Your Account preferences.

You may also be asked to choose a preferred currency for Your Account from the currencies available from time to time ("Account Currency").

There are no set-up charges for opening Your Account. We are not a bank and funds are not insured by any government agency. All payments to and from Your Account must be paid in the currencies available on the Services from time to time and shall not bear interest and You shall ensure that all payments into Your Account are from a payment source for which You are the named account holder.

To play Real Money Games or place a bet, you will be required to pay "real money" funds into Your Account by any of the methods specified by us. Such funds will be deposited into Your Account upon actual receipt of funds by us. Minimum and maximum limits may be applied to the payments into Your Account, depending upon your history with us, the method of deposit, and other factors as determined solely by us. You can request withdrawals from Your Account at any time provided all payments made have been received. We reserve the right to pay any requested withdrawal partly or in total via the same method of payment and in the same currency with which deposits were made. When using credit/debit card or an e-wallet to make a deposit, we may elect not to accept any withdrawal request within fourteen (14) days after the deposit.

Before you start playing Real Money Games or place Real Money Bets, it is your sole responsibility to read these terms of use carefully and go through our entire or particular Game Rules. Any dispute arising from lack of knowledge will be ignored. It is your sole responsibility to address any question you have regarding our game rules before you place Real Money Bets to our customer support team.

INACTIVE ACCOUNT FEES AND ABANDONMENT OF ACCOUNTS

If You do not access Your Account by "logging on" to Your Account using Your Email and password and make a deposit as applicable, for any consecutive period of 90 days, then after those 90 days (the "Grace Period") Your Account (and any related account with any ESP) will be deemed "Inactive".

Once Your Account has been deemed Inactive We will be entitled to charge You an administrative fee. We may deduct 10% Inactive Account Fee amount from Your Account Balance on the day following the end of the Grace Period and then every thirty (30) days thereafter. If We continue to deem Your Account Inactive for a period of twelve consecutive calendar months, in order to safeguard Your monies, We may withhold any remaining monies in Your Account and close Your Account. You may contact us to reclaim any such withheld monies at any time.

If You have not logged in to Your Player Account 14 days post of receiving Our 7 FREE bonus money, (New Players No-Deposit-Bonus) by us without making a ‘Deposit’ to your Player Account the bonus and any money won from that bonus will be erased from the players account after 14 days of inactivity and all bonus funds and winning will be transferred back to Pariplay Limited.

TRUE IDENTITY AND ONE ACCOUNT
The name on Your Account must match Your true and legal name and identity and the name on Your Account registration must match the name on the credit card(s) or other payment accounts used to deposit or receive monies into Your Account. To verify Your identity, We reserve the right to request satisfactory proof of identity (including but not limited to copies of a valid passport/identity card and/or any payment cards used) and satisfactory proof of address (including but not limited to a recent utility bill or bank statement) at any time. Failure to supply such documentation may result in suspension of the Account. You may not hold more than one (1) Account. If You have more than one (1) Account or Accounts in different names, then You must contact us immediately at support@ScratchGames.com to have Your Accounts managed so that You only have one (1) Account. We reserve the right to close Your Account(s) if You open multiple Accounts. Should We have reasonable grounds to believe that multiple Accounts have been opened with the intention to defraud the company, We reserve the right to cancel any transaction related to said fraud attempt. If You have lost Your Account name or password, please contact us at support@ScratchGames.com for a replacement.

BONUSES
We may from time to time offer You complimentary or bonus amounts to be credited by Us into Your Account ('Bonus(es)'). Such Bonuses may only be used in relation to such Services as may be specified when the Bonus is offered to You. Acceptance of any Bonus shall be in accordance with additional terms and conditions for each bonus, if any, We may make available to You in respect of each such Bonus offering and, if none, then in accordance with the standard promotions terms and conditions and bonus release restrictions contained in the relevant offer. Offers may be used only ONCE unless otherwise specified. You are not entitled to withdraw any Bonus amounts and You may not remove any cash obtained via a Bonus from Your Account without first complying with the applicable terms including, without limitation, in respect of any qualifiers or restrictions.

CASH OUTS

Your account balance is the amount of real money held in Your Account (if any), plus any winnings and/or minus any losses accrued from using the Services, less any if applicable, and less any amounts previously withdrawn by You or amounts forfeited or reclaimed by Us due to any known or suspected fraud or due to deposits or other transactions rejected or cancelled by Your bank or any relevant third-party bank (whether as a result of insufficient funds, charge-backs or otherwise), any Inactive Account Fees or any sums which are otherwise deductible or forfeited under these Agreements.

Acceptance of cash out request is subject to any deposit method restrictions, bonus restrictions and/or Security Reviews (and any other terms of these Agreements. You agree that the maximum amount that you may cash-out is equal to 100,000 (one hundred thousand) units, on any currency we provide the Service with, per month. All amounts larger than one hundred thousand units (100,000) will be paid in installments until the full withdrawal amount is reached.

We may report and withhold any amount from your winnings in order to comply with any applicable law. All taxes due in connection with any winnings awarded to you are your sole liability. Account balances cannot be transferred, substituted or redeemed for any other prize. Payment of funds which you withdraw shall be made by cheque, wire, credit card and/or any other manner which we select in our sole discretion, although we will try to accommodate your preferences as indicated by you when you register.

Payments will be made as soon as reasonably possible, although there may be delays due to any Security Review undertaken by Us and save where We hold any such payments in accordance with these Agreements.

You agree that we will have the right to withhold any Withdrawals, in the event the we believe or suspect that you may be engaging in or have engaged in fraudulent, collusive, unlawful or improper activity, or if we are concerned about the operation of that Player Account or the request for Withdrawal. In such cases, we may commence and/or be involved in and/or assist any investigation into such circumstances, and you agree to assist and cooperate with any such investigation.

There is no maximum payout on ScratchGames. However, there are prize amounts and odds tble for each game. Please refer to our Games Rules page to each game and review its prize amounts and odds table (games payouts).

INTELECUATL PROPERTY RIGHTS

For the avoidance of any doubt, Pariplay Limited is the owner or licensee of the copyright, trademarks and other intellectual property rights and the Games offered via the Pariplay Limited. Players and prospective Players acquire no rights therein by using the Pariplay Limited. In addition, other content related to the Pariplay Limited, including, but not limited to, the software, images, pictures, graphics, photographs, animations, videos, music, audio and text belongs to Pariplay Limited and is protected by copyright and/or other intellectual property, or other rights. Players and prospective Players acknowledge and agree that they are only permitted to use the Pariplay Limited as expressly set out in this Agreement and such Players and prospective Players obtain no rights in the Site, or any part thereof. Under no circumstances may you use the Site and without Pariplay Limited prior written consent.

All content and use of the Pariplay Limited is for personal, non-commercial use only. All other use is strictly prohibited and you will be solely liable for any damages, costs or expenses arising out of or in connection with the commission of any prohibited activities.

REFUND POLICY

No refund can be completed once the alleged deposit (including the bonus) has been played with Pariplay Limited.

No refund can be completed due to lack of game(s) knowledge once the alleged deposit (including the bonus) has been played with Pariplay Limited. It is your responsibility to read each game rules and fully understand its rules BEFORE you place any real money bets.

A refund request will only be considered if it is requested within the first twenty-four (24) hours of the alleged transaction, or within thirty (30) days if a Player alleges that another individual has accessed his/her Player Account.

We reserve the right to withhold any refund or reverse transaction until the identity of the Player Account User is adequately established to our satisfaction, in order to ensure that any payment made to us will be honored after a refund has been made. You agree to provide, in case we demand, a notarized identification, or any other certified identification in accordance with the applicable laws of your jurisdiction. If such notarized or certified identification is not provided within Seven(7) days of our request, then such refund or reverse transaction shall not be effected, Your Player Account shall be closed and You shall forfeit all funds in Your Player Account, such decision shall be final, binding and not subject to appeal.

FRAUDULENT ACTIVITIES, PROHIBITED TRANSACTIONS AND FAILED DEPOSITS

We have a zero tolerance policy towards inappropriate play and fraudulent activity. If, in Our sole determination, You are found to have cheated or attempted to defraud Us including but not limited to game manipulation or payment fraud, or manipulation of the multi-currency facilities, or if We suspect You of fraudulent payment, including use of stolen credit cards, or any other fraudulent activity (including but not limited to any chargeback or other reversal of a payment) or prohibited transaction (including but not limited to money laundering) or if Your deposits failed to be honored by Your bank for any reason, We reserve the right to suspend and/or close Your Account and recover bad debts using whichever method may lawfully be available to Us.

We reserve the right to void and withhold any or all winnings made by any person or group of persons where We have reasonable grounds to believe that said person or group of persons is acting or has acted in liaison in an attempt to defraud or damage Us in any way.

LIMITATION OF LIABILITY

Your decision to use Pariplay Limited Services is made at your own discretion and risk.

We shall not be liable in contract, tort, negligence, or otherwise, for any loss or damage whatsoever arising from or in any way connected with Your use of the Pariplay Limited Services whether direct or indirect, including, without limitation, damage for loss of business, loss of profits, business interruption, loss of business information, or any other pecuniary or consequential loss (even where We have been notified by you of the possibility of such loss or damage).

We shall not be liable in contract, tort, negligence, or otherwise, for any loss or damage whatsoever arising from or in any way connected with your use, of any link used in connection with the Pariplay Limited. We are not responsible for the content of any linked sites.

You confirm that we shall not be liable to you or any third party for any modification to, suspension of or discontinuance of the Pariplay Limited.

You agree that, in the event that the Interactive System or the Pariplay Limited Services fail to operate correctly as a result of, but not limited to, any delay or interruption in operation or transmission, any loss or corruption of data or communication or lines failure, any person's misuse of the Pariplay Limited Services or their contents or any error or omission in content or any other factors beyond Our control:

a. Pariplay Limited will not be responsible for any loss, including loss of winnings, that may result; and

b. if any such errors result in an increase in winnings owed or paid to You, You shall not be entitled to the winnings falling within such increase. You shall immediately inform Pariplay Limited of the error and shall repay any winnings credited to Your Player Account in error to Pariplay Limited (as directed by Pariplay Limited) or Pariplay Limited may, at its discretion, deduct an amount equal to those winnings from Your Player Account or set off such amount against any money owed to You by Pariplay Limited.

SETTLEMENT OF IN-GAME DISPUTES

You fully accept and agree that Pariplay Limited software will determine the shuffling and dealing of cards and other randomly generated events required in the Gaming Services. If there is a discrepancy between the result showing on the user and our server, the result showing on our server shall govern the result. Moreover, you understand and agree that (without prejudice to Your other rights and remedies) Our records shall be the final authority in determining the terms of your use of the Gaming Services, the activity resulting there from and the circumstances in which such activity occurred.

If You have any complaints, claims or disputes with regard to any outcome regarding the Services or any other activity, You must submit Your complaint to Us in writing as soon as is reasonably practicable following the date of the original transaction to which the claim or dispute refers. Complaints may be submitted by email to info@ScratchGames.com. You may also submit notices to Us in our contact us Page indicating your notice / complaint with maximum description and details. In addition, you may, at any point, call our customer support center at +44 (0) 20-3384-5641 to follow up your complaint. One you have send / submitted a complaint you will immediately get an email back with a unique ID Support Ticket and you will be able to follow up any correspondence with us using this unique Ticket ID. Any notice We give to You (save as otherwise set out herein) will be sent to the email address that You provide when You register Your Account with a unique ticket number for future correspondence within 48 hours (2 business days). It is Your responsibility to give Us notice of any changes to this address by asking a change from one of the company's support staff and to regularly check Your email account for emails from Us. Complaints will be escalated to the customer service manager if the answer is not satisfactory to the You.

MISCELLANEOUS

We may, at our sole discretion, refuse to register and provide a Player Account to any individual.

We reserve the right to suspend, change, modify, add or remove any Game(s) used by Pariplay Limited without any prior notice to Our Players and with immediate effect. We shall not be liable for any loss suffered by you resulting from any changes made and you shall have no claims against Pariplay Limited in such regard.

We reserve the right to offer, from time to time, bonuses and/or promotions and special offers and that any such offer will be subject to its own rules and conditions. We reserve the right to withdraw any of these special offers and bonuses at any time. In the event that Pariplay Limited believes a user of the Pariplay Limited Services is abusing or attempting to abuse a bonus or other promotion, or is likely to benefit through abuse or lack of good faith from a gambling policy adopted by Pariplay Limited, then Pariplay Limited may, at its sole discretion, deny, withhold or withdraw from any user any bonus or promotion, or rescind any policy with respect to that user, either temporarily or permanently, or terminate that user's access to the Pariplay Limited Services and/or block that user's Player Account.

You agree that we may, at our sole discretion, assign or sublicense this Agreement, in whole or in part, to any third party or person without notice, and you will be deemed to consent to such assignment.

You understand that you will receive electronic communications from us, posted via the Pariplay Limited Services and/or sent to you via e-mail. All such communications will be considered "in writing" and will be considered received by you after 4 business days, whether you have actually received them or not.

The enforceability or validity of any part of this Agreement shall not affect the validity and enforceability of the remainder of this Agreement.

This Agreement contains the entire agreement between you and us relating to use of the Pariplay Limited Services.

No waiver by us of any terms of this Agreement shall be construed as a waiver of any preceding or succeeding breach of any terms of this Agreement.

Unless otherwise expressly stated, nothing in this Agreement shall create or confer any rights or any other benefits to third parties.

Nothing in this Agreement shall be construed as creating any agency, partnership, trust arrangement, fiduciary relationship or any other form of joint enterprise between you and us.

LIMITATIONS AND EXCLUSIONS

YOUR ACCESS TO PARIPLAY LIMITED IS AT YOUR SOLE OPTION, DISCRETION AND RISK. THE INTERACTIVE SYSTEM, WEBSITE(S) AND SNY OTHER CONTENT IS PROVIDED “AS IS”. WE SHALL NOT BE LIABLE FOR ANY MALFUNCTIONS OF THE COMPUTER PROGRAMS RELATING TO THE SERVICES WE MAKE AVAILABLE, ERRORS, BUGS OR VIRUSES RESULTING IN LOST DATA OR ANY OTHER DAMAGE TO YOUR COMPUTER EQUIPMENT, OR SOFTWARE. FURTHERMORE, WE SHALL NOT BE LIABLE FOR ANY ATTEMPTS BY YOU TO USE THE SERVICES BY METHODS, MEANS OR WAYS NOT INTENDED BY US. WE ARE NOT REQUIRED TO PROVIDE REDUNDANT OR BACKUP NETWORKS AND/OR SYSTEMS.

WE WILL PROVIDE THE SERVICES WITH REASONABLE SKILL AND CARE AND SUBSTANTIALLY AS DESCRIBED IN THE AGREEMENTS. WE DO NOT MAKE ANY OTHER PROMISES OR WARRANTIES ABOUT THE SERVICES.

PARIPLAY LIMITED (INCLUDING ITS OFFICERS, DIRECTORS, AGENTS AND EMPLOYEES) WILL NOT BE LIABLE TO YOU IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE FOR ANY BUSINESS LOSSES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, REPUTATION OR BUSINESS INTERRUPTION OR FOR ANY LOSSES WHICH ARE NOT CURRENTLY FORESEEABLE BY THE US ARISING OUT OF THESE AGREEMENTS OR YOUR USE OF THE SERVICES.

WE SHALL NOT BE LIABLE FOR ANY ACTS OR OMISSIONS MADE BY YOUR INTERNET SERVICE PROVIDER, OR MOBILE DEVICE COMPANY, OR OTHER THIRD PARTY WITH WHOM YOU HAVE CONTRACTED TO GAIN ACCESS TO THE SERVER THAT HOSTS OURSERVICES.

NOTHING IN THESE AGREEMENTS WILL OPERATE SO AS TO EXCLUDE ANY LIABILITY WE MAY HAVE IN RESPECT OF EITHER FRAUD, OR DEATH, OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE.

GOVERNING LAW
These Agreements shall be governed by and construed in accordance with the laws of the Isle of Man. You irrevocably agree to submit to the exclusive jurisdiction of the courts of the Isle of Man for settlement of any disputes or matters arising out of or concerning these Agreements or their enforceability. If any part of these Agreements is found to be invalid, illegal or unenforceable in any respect, it will not affect the validity of the remainder of the Agreements, which shall remain valid and enforceable according to their terms.

ENTIRE AGREEMENT, MODIFICATION AND AMENDMENTS
You fully understand and agree to be bound by these Agreements and as modified and/or amended by us from time to time. We may amend these Agreements at any time by publishing the modified Agreement(s) on the relevant page o. Any such modification will take effect immediately. If any modification is unacceptable to You, Your only recourse is to terminate these Agreements. Your continued use of Pariplay Limited services following notification will be deemed binding acceptance of the modification. It is your sole responsibility to review these Agreements and any amendments each time you play. These Agreements and the documents referred to herein represent the complete and final agreement between you and us in relation to these agreements and supersede any and all prior agreements between you and Us.
